1. Services
Frederic James Priestley provides freelance media buying and digital advertising consultancy services. The specific scope, deliverables, and fees for each engagement are agreed upon in writing before work begins.
2. Payment
Invoices are issued monthly and are payable within 14 days of receipt unless otherwise agreed. I accept payment in GBP (£), EUR (€), and USD ($). Late payments may incur interest at 8% above the Bank of England base rate, in accordance with UK law.
3. Intellectual property
All ad creatives, strategies, and deliverables produced during an engagement become the client's property upon full payment. I retain the right to reference the engagement (without disclosing confidential data) in my portfolio.
4. Confidentiality
I treat all client business information, ad account data, and performance metrics as strictly confidential. This obligation survives the termination of any engagement.
5. Liability
I take reasonable care in managing advertising campaigns, but I cannot guarantee specific results. Advertising performance depends on many factors outside my control, including market conditions, product quality, and platform algorithms. My total liability is limited to the fees paid for the relevant engagement.
6. Termination
Either party may terminate an engagement with 14 days' written notice. Fees for work completed up to the termination date remain payable.
7. Governing law
These terms are governed by the laws of England and Wales.
